American Depositary Receipts: ADR Ratios, Fees and Dividends
Learn what an ADR represents and how the depositary ratio, currency conversion, fees, and dividend processing affect the investment.
An American depositary receipt represents an interest in shares of a non-U.S. company held through a depositary arrangement. Dollar trading does not eliminate the underlying company’s business exposure or currency-related risks.
Read the depositary ratio
Do not assume one ADR equals one ordinary share. Confirm the ratio in the deposit agreement before comparing prices. Reporting arrangements can differ across programs and trading venues, so identify the particular receipt and read both the issuer’s filings and the depositary documents.
Reconcile dividends to cash received
Separate the local-currency dividend, withholding, conversion, and depositary fees. Cash reaching an investor can differ from the issuer’s announced per-share dividend. Rather than applying a universal fee or tax rate, reconcile the agreement, depositary notices, and broker cash entries for the particular holding.
Compare prices at consistent times
The ordinary-share market and the U.S. market may trade at different times. Align the currency conversion and ratio, and examine trading and conversion costs. An apparent price difference is not proof that a retail investor can execute a risk-free arbitrage; timing, access, and settlement still matter.
Hypothetical example
Hypothetical example: one ADR represents two ordinary shares, each priced at 50 local-currency units. At 10 local units per dollar, the simple translated value is USD 10 per ADR. The calculation excludes fees, taxes, and timing differences and is not an actual ADR quote.
